CONSTITUTION
PREAMBLE
We, the members of Lake Washington Christian Church (Disciples of Christ)
of Kirkland, Washington, in faithful response to the will and purposes of
God as revealed through Jesus Christ and God’s continuing revelation in the
world, do hereby adopt this revised constitution on this sixteenth day of
November in the year 2003.
ARTICLE I. NAME
The name of this congregation shall be Lake Washington Christian Church
(Disciples of Christ), affiliated with and an integral part of, the
Christian Church (Disciples of Christ) in the United States and Canada.
ARTICLE II. MISSION STATEMENT
Lake Washington Christian Church (Disciples of Christ) is a flexible and
diverse group of people who believe that Jesus is the Christ, the Son of the
Living God and our Lord and Savior. While expressing ourselves through our
participation in the Christian Church (Disciples of Christ) – we believe
that we are part of the entire church of Jesus Christ, which we pray will
unite.
We believe the Gospel of Jesus Christ calls us to worship regularly
together and to remember Him in communion. We will spread the gospel and
baptize those who respond.
With liberating faith we will strive to provide friendship, acceptance
and spiritual guidance through fellowship and practical biblical education
for people of all ages. We affirm that we are called to be an example of
faith through our service to others, both in this community and in the
world.
By the grace of our Lord may we ever do justice, love mercy and walk
humbly with our God on our faith journeys.
ARTICLE III. MEMBERSHIP
Membership of this congregation, as a part of the whole family of God on
earth, shall consist of the following: those who are now members of the
congregation; those who shall unite with it by confession of faith in Jesus
Christ as Lord and Savior, giving expression of their faith through baptism
and commitment to Him; those who unite by transfer of membership, thereby
reaffirming their faith and commitment to Christ; and other interested
members of the community who request to be members and who agree to uphold
the purposes of this congregation.
ARTICLE IV. RIGHTS, PRIVILEGES,
AND RESPONSIBILITIES OF THE CONGREGATION
The congregation shall manage its affairs under the Lordship of Jesus
Christ; determine its faithfulness to the gospel with respect to the basis
of membership; own, control and encumber its property; organize and carry
out the mission and witness of the congregation; establish its budgets and
financial policies; call its minister(s) and other staff; and participate,
through voting representatives, in regional and general assemblies of the
Christian Church (Disciples of Christ) in forming the corporate judgments of
the Christian Church (Disciples of Christ).
The congregation shall demonstrate voluntarily its mutual concern for the
nurture, mission and witness of the whole church, and, among other
responsibilities, it shall: proclaim the gospel; administer baptism and the
Lord's Supper; provide for the spiritual nurture of its members; grow in
understanding that the church is a universal fellowship; transcend all
barriers within the human family such as race and culture; be faithful in
Christian stewardship, striving to share proportionately in providing
resources for the total life, work and witness of the Christian Church
(Disciples of Christ); choose voting representatives to the general and
regional assemblies of the Christian Church (Disciples of Christ) and seek
to realize the oneness of the church of Jesus Christ through cooperation
with other churches of the community and with present and emerging
ecumenical structures.
The congregation shall sustain its minister(s) in faithfulness and honor,
and in matters pertaining to relationships with the minister(s) seek counsel
from the regional minister(s).
The congregation shall exercise and enjoy all other rights, privileges,
and responsibilities requisite or appropriate to carrying out its mission.
ARTICLE V. OFFICERS, BOARD OF
TRUSTEES, ELDERS, DEACONS
Section A. Officers
The congregation shall elect from its members a president, vice president of
program, vice president of Christian education, vice president of finance,
vice president of property, vice president of outreach, treasurer, and
secretary. These officers shall be elected at the annual meeting of the
congregation and shall serve as officers of the congregation and the board
of trustees as set forth in the Bylaws.
Section B. Board of Trustees
The congregation shall have a board of trustees, which shall be responsible
to the congregation and have authority to act on behalf of the congregation
when it is not in a congregational meeting.
The board of trustees shall be composed of members as set forth in the
Bylaws and for terms of office therein stated.
The board of trustees shall be responsible for receiving reports from its
minister(s), officers and the various organizations within the congregation.
It shall establish by its action the program and budget of the congregation,
subject to action by the congregation at its annual meeting. It shall be
responsible also for conducting all legal business matters of the
congregation and carry out such other responsibilities as may be defined in
the Bylaws.
Stated meetings of the board of trustees shall be held at least 10 times
each year, beginning on or after the second Sunday of the first month of the
fiscal year. The president, or any one of the vice presidents, or a majority
of the board of trustees may call special meetings. Notice of special
meetings shall be made by telephone, mail, e-mail, or by announcement at a
Sunday morning worship service. The purpose, date, time and place of the
meeting shall be indicated in each notice. E-mail voting on board issues may
be made by direction to the Church office.
Section C. Elders and Deacons
The congregation shall have elders and deacons composed of men and women.
Their election, qualifications and responsibilities shall be as set forth in
the Bylaws.
ARTICLE VI. CONGREGATIONAL
MEETINGS
Congregational meetings shall be held at least annually in the month of
November. Notice of all stated or special congregational meetings shall be
announced at a regular Sunday morning worship service of the congregation at
least one week in advance of the meeting and by means of the church
newsletter or a written notice sent though the mail or by email at least ten
days before the meeting. Additionally, a notice shall be placed on the
official Church website, but such notice shall not be deemed to replace any
of the above required notices. Purpose, date, time and place of meeting
shall be indicated in each notice.
ARTICLE VII. AMENDMENTS
This constitution may be amended at any congregational meeting by a
two-thirds vote of the members present and voting on the amendment, provided
written notice of the proposed amendment has been sent through the mail, or
via e-mail to members of the congregation with posting on the official
Church website at least ten days prior to the time the vote is to be taken,
or the proposed amendment has been read at or following two successive
Sunday morning worship services immediately prior to the time the vote is
taken, or the proposed amendment has been announced at two successive Sunday
morning worship services and printed copies made available to the
congregation at these services.

BYLAWS
I. OFFICE
A. Principal Office
1. The principal office of the congregation in the State of Washington shall
be located in the County of King. The congregation may have such other
offices either within or without the State of Washington as may be directed
by the board of trustees from time to time.
B. Registered Office
1. The registered office of the congregation required by law to be
maintained in the State of Washington may be, but need not be, identical
with the principal office.
II. OFFICERS OF THE CONGREGATION
A. Election and Term of Office
1. The congregation, at its annual meeting, shall elect for terms of two
years the following officers:
a. President of the congregation, who also shall serve as
president of the
board of trustees. President shall be
elected in even numbered years.
b. Vice President of Program, who also shall serve as
president of the board
of trustees in case of the
president's absence. Vice President of Program
shall be elected in even numbered
years.
c. Vice President of Finance shall be elected in odd numbered
years.
d. Vice President of Christian Education shall be elected in
odd numbered years.
e. Vice President of Property shall be elected in even
numbered years
f. Vice President of Outreach shall be elected in odd
numbered years.
g. Treasurer shall be elected in even numbered years.
h. Secretary shall be elected in odd numbered years.
B. Qualifications
1. Officers must be members of the congregation.
2. Officers must be active in the congregation's life and give evidence
of seeking to grow in their own understanding and practice of the Christian
life. Such evidence should include, but not be limited to, the following:
a. Conduct of one's life in light of the teachings of Jesus
Christ.
b. Promotion of good will and Christian fellowship in the
congregation
and community.
c. Regular attendance at the worship services and stated
meetings of
the congregation.
d. Regular and faithful contributions to the support of the
congregation
and its outreach programs.
e. Willingness to fulfill assignments in behalf of the
congregation
f. Demonstrated gifts and skill or evident potential in
carrying out
responsibilities for the particular
office.
C. Responsibilities
1. The president shall preside at all stated and special called meetings of
the congregation and board of trustees and perform such other duties
normally associated with the office of the president.
2. The vice president of program shall preside over all meetings of the
board of trustees in the absence of the president; shall chair the Program
Advisory Committee; and shall perform such other duties as from time to time
may be associated with the office of vice president of program, and as may
be assigned by the president or by the board of trustees.
3. The vice president of finance shall be responsible for receiving all
funds and securities of the congregation; shall keep accurate records of the
source and amount of such funds and securities received; shall deposit all
of such funds in the name of the congregation in such banks, trust
companies, or other depositories as selected in accordance with these bylaws
and as directed by resolution of the board of trustees. The vice president
of finance shall provide the treasurer of the congregation with copies of
all deposit receipts, and shall make regular monthly reports of the all
funds and securities received to the board of trustees. If required by the
board of trustees, the vice president of finance shall give a bond for the
faithful discharge of his/her duties in such sum and with such surety or
sureties as the board of trustees shall determine. He/She shall also perform
such other duties as from time to time may be assigned by the president or
by the board of trustees.
4. The vice president of Christian education shall chair the Christian
Education Committee; and shall perform such other duties as from time to
time may be associated with the office of vice president of Christian
education, and as may be assigned by the president or by the board of
trustees.
5. The vice president of property shall chair the Property Committee; and
shall perform such other duties as from time to time may be associated with
the office of vice president of property, and as may be assigned by the
president or by the board of trustees.
6. The vice president of outreach shall chair the Outreach Committee; and
shall perform such other duties as from time to time may be associated with
the office of vice president of outreach, and as may be assigned by the
president or by the board of trustees.
7. The secretary shall keep accurate minutes of all congregational and
board of trustees meetings; maintain a current list of the names and
addresses of all active members of the congregation; see that all notices
are duly given in accordance with these Bylaws or as required by law;
collect and store material of historic nature to the congregation; and shall
perform such other duties as from time to time may be associated with the
office of secretary, and as may be assigned by the president or by the board
of trustees.
8. The treasurer shall give receipts for all funds due and payable to the
congregation from any source whatsoever. He/She shall present a report of
the current financial status of the congregation to the board of trustees on
a regular basis as provided by board of trustee's resolution. He/She shall
prepare an annual financial report for the annual congregational meeting.
He/She shall, with the advice of the board of trustees, prepare a
preliminary budget of the following fiscal year. On approval of the board of
trustees, acting as budget review committee, the treasurer shall prepare the
final budget for publication to the congregation two weeks prior to its
annual meeting. At the annual meeting, the treasurer shall present the final
budget for approval and ratification by the congregation. If required by the
board of trustees, the treasurer shall give a bond for the faithful
discharge of his/her duties in such sum and with such surety or sureties, as
the board of trustees shall determine. He/She shall also perform such other
duties as from time to time may be assigned by the president or by the board
of trustees.
D. Vacancies
Any vacancy occurring on the board of trustees may be filled by the
affirmative vote of the majority of the remaining trustees though less than
a quorum of the board of trustees is available. A trustee elected to fill a
vacancy shall be elected for the unexpired term of his or her predecessor in
office. Any trusteeship to be filled by reason of an increase in the number
of trustees shall be filled by election at an annual meeting or at a special
meeting of the congregation called for that purpose.
E. Termination
At a meeting of the membership called expressly for that purpose by a vote
of 2/3 of the board or the majority of the membership, one or more members
of the board of trustees (including the entire board of trustees) may be
removed, for just cause, by a vote of a majority of the membership then
entitled to vote on election of trustees. Just cause shall consist of the
failure to: (a) live up to the purposes of the congregation; or (b) to mis-use
the gifts to the congregation in accordance with the powers of the
congregation as set forth in the Articles of Incorporation/Constitution.
III. BOARD OF TRUSTEES
A. Membership
1. The board of trustees shall be composed of not less than the minister(s),
the elected officers of the congregation, the Head Elder, and the Head
Deacon.
2. The minister(s) shall at all times hold a position on the board of
trustees. The remaining trustees shall each serve a term of two years, and
may not serve more than two consecutive terms.
B. Authority
1. The board of trustees shall perform its duties according to the authority
granted in the Constitution or otherwise delegated to it by the
congregation.
2. In keeping with the traditions of the Christian Church (Disciples of
Christ), the ultimate authority of the congregation shall rest with the
congregation. All organizations within the congregation shall be responsible
to the board of trustees and through it, to the congregation.
3. All meetings of the board of trustees shall be governed by Sturgis
Standard Code of Parliamentary Procedure (second edition).
4. A majority of the trustees shall constitute a quorum for the
transaction of business at any meeting of the board but, if less than such
majority were present at a meeting, a majority of the trustees present may
adjourn the meeting from time to time without further notice.
C. Responsibilities
1. The board of trustees shall conduct its affairs in harmony with the
Constitution and the Bylaws of the congregation.
2. The board of trustees shall be responsible for conducting the business
affairs of the congregation and providing for the planning, coordination,
resourcing, evaluation and implementation of the work and activities of the
congregation.
3. The board of trustees shall establish, when necessary, a ministerial
search committee for the purpose of securing minister(s) for the
congregation. Membership and responsibilities shall be as described in the
Bylaws, Article IV, Section B.
4. The board of trustees shall establish a Pastoral Relations Committee
for the purposes as set forth in the Bylaws, Article VII, Section B.
5. The board of trustees shall establish other committees or task forces
as needed for the conduct of its work.
6. The board of trustees shall receive regular reports from its members
and from other organizations both within and from without the congregation;
and it shall act upon such reports with approval, disapproval, modification,
or referral back to the respective member or organization.
7. The board of trustees shall receive the proposed annual budget from
the treasurer and shall serve as budget review committee. It shall recommend
approval of the budget to the congregation at its annual meeting. Subsequent
over expenditure or requests for additional funds from organizations within
the congregation shall be approved or disapproved by the board of trustees.
8. The board of trustees shall recommend to the congregation the calling
of the minister(s) and the employment of other staff, as it deems necessary
for the efficient administration of the Church's mission.
IV. MINISTER(S)
A. Responsibilities
1. The Minister(s) shall perform the duties usually associated with that
office and, as spiritual advisor(s) of the Church, shall be member(s) of all
organized groups, task forces and committees with the exception of the
Permanent Funds Committee. The Minister(s) shall be in good standing with
the Northwest Region of the Christian Church (Disciples of Christ), and will
maintain his or her position in good standing. A Senior Minister shall be so
designated by the board of trustees only when such position shall be deemed
necessary for the efficient functioning of the administration of the Church
and then, only after consultation with the Elders and Pastoral Relations
Committee. Additional Ministers, ordained, licensed or lay, full-time,
part-time, student or volunteer, shall work in cooperation with the Senior
Minister, shall be in good standing with the Northwest Region of the
Christian Church (Disciples of Christ), and will maintain their position in
good standing.
B. Selection
1. The board of trustees shall appoint five (5) qualified members to serve
as the Ministerial Search Committee, two (2) of whom shall be trustees at
the time of their selection. It shall be this committee's duty to seek
qualified person(s) for the position of Minister(s) to the congregation and
its members. Its work shall be carried out in closed meetings so as to
protect the confidentiality of all applicants. In carrying out their
responsibilities, the committee shall consult with the Regional Minister of
the Northwest Region of the Christian Church (Disciples of Christ) in
seeking qualified applicants. The committee shall review the applicants and,
after deliberation, call for a Minister to be voted on by the members at an
annual or specific meeting of the membership. Following Board of Trustees
approval, a two-thirds (2/3) affirmative vote of members present at an
annual or special membership meeting shall be required for approval.
C. Termination
1. Voluntary resignation of the Minister(s) shall be submitted to the board
of trustees in writing and announced to the congregation just as soon as
practicable. Involuntary resignation of the Minister(s) will be dealt with
in closed session between the board of trustees and the Minister(s). The
Regional Minister may be consulted in matters regarding involuntary
resignation. The board of trustees shall approve the resignation, voluntary
or involuntary, by at least a two-third (2/3) vote of those present and
voting, and recommend approval, in the case of involuntary resignation only,
to the congregation. The congregation at an annual or special meeting shall
take final action on the involuntary resignation of the Minister(s). A
two-third (2/3) vote of the membership at a special or annual meeting shall
be required to terminate the contract of any Minister(s). There shall be a
minimum of sixty (60) days notice upon non-renewal of any Minister(s)'s
contract.
V. ELDERS AND DEACONS
A. Elders Election and Term of Office
1. The Elders shall be elected from the membership at the annual meeting of
the members. An Elder may not hold any other elected position in the
congregation except that an Elder may serve on the Permanent Funds
Committee. There shall be a minimum of six (6) Elders. The board of trustees
may, from time to time and by resolution, determine and change the number of
additional Elders.
2. Elders shall be elected to staggered three-year terms. An Elder shall
not hold office for more that two (2) consecutive terms.
B. Elders Qualifications
1. The qualifications for Elders shall be the same as described for the
officers of the congregation in the Bylaws, Article II, Section B.
C. Elders Responsibilities
1. The Elders shall perform the following duties: (a) Share in the pastoral,
church growth and teaching functions of the ministry; (b) Preside at the
communion table as representatives of the congregation; and (c) Provide
supportive counsel for the Minister(s) regarding the spiritual life and
development of the congregation.
D. Head Elder
1. The Head Elder is responsible to see that the duties of the Elders are
carried out. During the month of January each year, the Elders shall select
a Head Elder from among themselves. The Head Elder shall hold office for one
(1) year, effective from January 1 through December 31. An Elder may not
hold the office of Head Elder for more than two (2) consecutive terms. The
Head Elder is a member of the board of trustees and will attend the regular
meetings of the board of trustees.
E. Deacons Election and Term of Office
1. The Deacons shall be elected from the membership at the annual meeting of
the members. There shall be a minimum of eight (8) Deacons. The board of
trustees may, from time to time and by resolution, determine and change the
number of additional Deacons.
2. Deacons shall be elected to staggered two-year terms. A Deacon shall
not hold office for more that two (2) consecutive terms.
F. Deacons Qualifications
1. The qualifications for Deacons shall be the same as described for the
officers of the congregation in the Bylaws Article II, Section B.
G. Deacons Responsibilities
1. The Deacons are responsible for assisting in worship. Their duties
include but are not limited to: setting up the church for worship services,
arranging furniture, preparing audio/visual equipment (sound levels, hearing
impaired equipment, projector, etc.), assisting during worship with
offerings and communion as well as whatever else the Minister(s) and serving
Elder may request, assisting with greeting people and helping them find
seating and other duties as may be assigned by the President or the board of
trustees.
H. Head Deacon.
1. The Head Deacon is responsible to see that the duties of the Deacons are
carried out. During the month of January each year, the Deacons shall select
a Head Deacon from among themselves. The Head Deacon shall hold office for
one (1) year, effective from January 1 through December 31. A Deacon may not
hold the office of Head Deacon for more than two (2) consecutive terms. The
Head Deacon is a member of the board of trustees and will attend the regular
meetings of the board of trustees.
I. Removal of an Elder or Deacon
1. A duly constituted quorum may, by the vote of two-thirds (2/3) of the
membership of the congregation, at a regular or special meeting called for
that purpose, remove any elder or deacon for just cause. Just cause shall
consist of: (a) failure to live up to the stated mission of the
congregation; or (b) failure to use the gifts of the congregation in
accordance with the powers of the congregation as set forth in the Articles
of Incorporation/Constitution.
J. Vacancies.
1. Any vacancy created by the withdrawal, death or removal of an elder or
deacon, shall be filled by resolution of the board of trustees for the
unexpired portion of the term. In the event that the vacancy is for a Head
Elder, then the Elders shall choose from among themselves a new Head Elder
to serve the unexpired portion of the term. In the event that the vacancy is
for a Head Deacon, then the members of the Diaconate shall choose from among
themselves a new Head Deacon to serve the unexpired portion of the term.
VI. COMMITTEES AND DELEGATES
A. Standing Committees
1. The board of trustees may designate members of the congregation in
accordance with these Bylaws, to the following standing committees, which
shall submit monthly reports to the board of trustees.
a. The Program Advisory Committee, known as the PAC, shall be composed
of the Vice President of Program who shall chair the Committee, and two or
more members to be appointed from the membership. The Program Advisory
Committee shall be in charge of coordinating and implementing all matters
related to the program of the Church. These programs shall include, but
not be limited to; church greeters, fundraisers and social activities. The
Committee shall have regular meetings, and shall be responsible for
preparing the church calendar and for reporting back to, and coordinating
with, the board of trustees.
b. The Christian Education Committee shall be composed of the Vice
President of Christian Education who shall chair the Committee, and two or
more members to be appointed from the membership. The Christian Education
Committee shall be responsible for recognizing, understanding, and
responding to the potential for learning, the search for meaning, the
particular needs and longing for relationship of every child, youth and
adult both within the membership and those outside for whom the Church
exists. It will be responsible for the Sunday School and youth programs of
the congregation.
c. The Property Committee shall be composed of the Vice President of
Property who shall chair the Committee, and two or more members to be
appointed from the membership. The Property Committee shall be responsible
for the maintenance of all property and insurance of the congregation,
including personal liability insurance, subject to approval by the board
of trustees.
d. The Outreach Committee shall be composed of the Vice President of
Outreach who shall chair the Committee, and two or more members to be
appointed from the membership. The Outreach Committee shall be responsible
for all activities, programs, and events that serve to fulfill our mission
to witness in and to the community outside the walls of this congregation
including participation with KITH, KIN, GKEP, and other para-church
organizations.
2. A Minister shall be a member of each standing committee. All committee
members shall serve terms as determined by the board of trustees.
B. Congregational Delegates
1. Any delegates who will be representing the congregation and its members
on any boards, assemblies, conferences, conventions, etc. shall be appointed
by the board of trustees.
VII. PASTORAL RELATIONS COMMITTEE
A. Selection and Term of Service
1. Members of the Pastoral Relations Committee shall be selected by the
Minister(s) and the President, and approved by the board of trustees.
2. There shall be no more than seven members on the Committee. This
Committee shall consist of one elder, one deacon, one board member, with the
remainder of the committee coming from the congregation at large.
3. The President, Head Elder, and Head Deacon shall not serve on the
Pastoral Relations Committee.
4. Members shall serve a three year staggered term. Members may not serve
two consecutive terms on the committee.
B. Purpose
1. To provide positive support, counsel, encouragement, and care for the
Minister(s) and other Church staff.
2. To model open communication and a positive style of conflict
resolution in the congregation.
3. To advocate for the Minister(s) and other Church staff with the
congregation and the board of trustees in matters of compensation including:
salary, days off, continuing education, sabbatical plans, business expenses
and compensatory time.
VIII. PERMANENT FUNDS COMMITTEE
A. Selection and Term of Service
1. Members of the Permanent Funds Committee trustees shall be selected by
the Nominating Committee and approved by the congregation at its annual
meeting. The trustees shall consist of at least five (5) and no more than
seven (7) trustees. The total number of trustees shall always be an odd
number.
2. The term of office shall be four (4) years and shall be staggered with
either two (2) or three (3) trustees being elected in even years and three
(3) or four 4) trustees being elected on odd numbered years (depending on
whether the Committee is to consist of five (5) or seven (7) trustees). No
trustee may serve more than two consecutive terms.
3. A minister, president of the congregation and vice president of
finance shall be ex-officio members without vote.
B. Permanent Funds Trustee Qualifications
1. The qualifications for trustees shall be the same as described for the
officers of the congregation in the Bylaws, Article II, Section B.
C. Permanent Funds Committee Responsibilities
1. Meet quarterly (e.g. on the second Monday of the months of February, May,
August and November). They shall elect their officers each year (President,
Vice-President, Secretary/Treasurer) from the trustees as needed.
2. Publicize the Funds to the congregation, sponsor "planned giving
seminars," contact prospective donors and promote other activities which
will bring growth in the Permanent Funds.
3. Provide a written annual report to the board of trustees and
congregation which shall include a list of new gifts received, "income"
received and the total value of the Permanent Funds.
4. Trustees shall not have the responsibility for the expenditure of
"income" from the Permanent Funds. Trustees will provide the "income" from
the funds to the board of trustees annually at the board's request for
expenditure according to guidelines the Permanent Funds Trustees shall
establish and shall be agreed to by vote of the board of trustees.
5. Trustees shall have responsibility for investing the corpus of the
Permanent Funds, subject to the confirmation of the board of trustees. It is
recommended that an agency of the Christian Church (Disciples of Christ),
such as the Christian Church Foundation, Inc. or the Board of Church
Extension, be considered to manage all or part of the Permanent Funds of
Lake Washington Christian Church.
6. Although it is not required, trustees are encouraged to make
provisions in their own financial planning to provide a gift to the
Permanent Funds of Lake Washington Christian Church.
IX. NOMINATION PROCESS
A. Nomination Process
1. Each year, at the regular meeting during the month of September, the
board of trustees shall appoint up to five (5) members of the congregation,
in accordance with these Bylaws, who shall serve as a Nomination Task Force.
2. Current members of the board of trustees, or Elders may not serve on
the Nomination Task Force.
3. The Nomination Task Force shall seek qualified members of the
congregation to serve as its officers, elders and deacons, and shall prepare
a report and submit it to the board of trustees during the month of October
of the same year in which they are appointed. This report shall contain the
names of persons to be nominated for each of the offices, eldership and
diaconate of the congregation to be elected at the annual membership meeting
in that year.
4. All nominees shall give their approval prior to having their names
placed in nomination. However, nominations to any office, eldership or to
the diaconate may be made by any member from the floor at the annual meeting
of the membership. Such nominations from the floor shall require, however,
the verbal approval of the nominee prior to being accepted by the president.
X. REVIEW AND AMENDMENTS
A. Review
1. In an effort to insure the ongoing viability of the Constitution and
Bylaws, each shall be reviewed every three years by a task force to be
appointed by the board of trustees. The purpose of such a review will be to
determine the need for any changes, corrections, revisions, or amendments to
either or both documents.
B. Amendments
1. These Bylaws may be altered, amended or repealed and new Bylaws may be
adopted by the board of trustees at any regular or special meeting of the
board of trustees. The congregation at its next annual or special
congregational meeting must ratify any such amendment in order to remain in
effect.
2. These Bylaws may be altered, amended or repealed and new Bylaws may be
adopted by the affirmative vote of a majority of the members present at an
annual or special meeting of the members, at which a quorum of the members
of the congregation are present.
3. Amendments to the Articles of Incorporation/Constitution shall be made
by the vote of a majority of the board of trustees, and ratified by a
majority of the member present at an annual or special meeting of the
members, at which a quorum of the members of the congregation are present.
